Terms and Conditions

By partnering with SmartAssist Resources, you agree to the following terms regarding our digital media and advertising services.

1. Scope of Services

SmartAssist Resources provides digital media management, content creation, and online advertising. The specific deliverables (e.g., number of posts, ad spend management, or graphic designs) will be defined in the signed Campaign Brief or Service Proposal.

2. Fees and Ad Spend

• Service Fees: All management fees are billed in Nigerian Naira (NGN).
• Ad Budgets: Unless otherwise agreed, the client is responsible for providing the budget for third-party ad platforms (Meta, Google, etc.).
• Taxes: Fees are subject to applicable Nigerian taxes (e.g., WHT or VAT).

3. Intellectual Property (IP)

• Client Content: You retain all rights to any materials (logos, photos, videos) provided to us.
• Agency Work: Upon full payment, the final creative assets produced by SmartAssist Resources for a specific campaign belong to the client. We reserve the right to showcase the work in our portfolio.

4. Content Approvals and Compliance

• Approvals: The client is responsible for final approval of all ad copy and creative assets.
• Legal Compliance: The client warrants that all products/services being advertised are legal in Nigeria and comply with APCON regulations and other statutory requirements.

5. Termination

Either party may terminate the agreement with 30 days’ written notice. Upon termination, the client shall pay for all work completed up to the termination date.

6. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be settled through mediation in Osun State.
